Proposed Amendments to the Capital Area Minor Football Association Constitution for 2024

Recommended amendment to section 4. GOVERNING STRUCTURE AND TERMS OF OFFICE

 

Structure of CAMFA governing body:

The affairs of CAMFA shall be governed by a Board of Directors composed of the following:

  • President
  • Past-President
  • Vice-President Finance and Administration
  • Vice-President Football Operations
  • Director of Tackle Football Programming
  • Director of Flag Football Programming
  • Director of Finance
  • Director of Administration
  • Director of Marketing
  • Director of Equipment and Owned Assets

Within the CAMFA Board of Directors there will exist an executive committee comprised of the following:

  • President
  • Vice-President Finance and Administration
  • Vice-President Football Operations
  • Director of Administration

 

CAMFA Board of Directors - Elections and Terms:

The CAMFA Board of Directors shall be elected at the Annual General Meeting and shall remain in office for a term of one (1) or two (2) years, as follows:

  • President (Two-year term, elected in odd years (i.e.: 2023))
  • Past-President (Two-year term, automatically offered to the most recent president at the time of a presidential change)
  • Vice-President Finance and Administration (Two-year term, elected in odd years (i.e.: 2023))
  • Vice-President Football Operations (Two-year term, elected in even years (i.e.: 2024))
  • Director of Tackle Football Programming (One-year term, elected annually)
  • Director of Flag Football Programming (One-year term, elected annually)
  • Director of Finance (Two-year term, elected in even years (i.e.: 2024))
  • Director of Administration (One-year term, elected annually)
  • Director of Marketing (One-year term, elected annually)
  • Director of Equipment and Owned Assets (One-year term, elected annually)  

 

CAMFA Board of Directors – Term Limits and Regulations:

In keeping with standard best practices of governing bodies the CAMFA Board of Directors will include consecutive term limits for elected positions. Once a limit has been reached for a specific position the affected member of the CAMFA Board of Directors is eligible to hold any other position and may re-offer their previous position after having completed a term within a different role.  Those limits are outlined below.

*Note that in the absence of a suitable alternative, members of the CAMFA Board of Directors may re-offer for an exceptional final consecutive term (third or fourth consecutive term depending on position) within a single position if approved via a vote of the CAMFA Board of Directors. IF re-elected for a final consecutive term it will be required that the affected member immediately begin the recruitment and training of an intended replacement for the end of their final term.

  • President – Two (2) consecutive terms for a total of four (4) years
  • Past-President - Two (2) consecutive terms for a total of four (4) years
  • Vice-President Finance and Administration - Two (2) consecutive terms for a total of four (4) years
  • Vice-President Football Operations - Two (2) consecutive terms for a total of four (4) years
  • Director of Tackle Football Programming - Three (3) consecutive terms for a total of three (3) years
  • Director of Flag Football Programming - Three (3) consecutive terms for a total of three (3) years
  • Director of Finance - Two (2) consecutive terms for a total of four (4) years
  • Director of Administration - Three (3) consecutive terms for a total of three (3) years
  • Director of Marketing- Three (3) consecutive terms for a total of three (3) years
  • Director of Equipment and Owned Assets – Three (3) consecutive terms for a total of four (3) years

 

CAMFA Board of Directors - Voting Regulations:

When a vote is required to come to a decision regarding the affairs of CAMFA, the Board of Directors will carry out the voting structure outlined below.

*It is noted that votes may be delivered remotely if provided to the president in writing in advance of the meeting.

*Should a vote arise that was not circulated prior to a meeting via an agenda, the President is able to allow the vote to continue if the Board of Directors has a quorum of at minimum of 6 voting members.

  • President (Eligible to vote only in the event of a deadlock)
  • Past-President (Ex-Officio Non-voting position)
  • Vice-President Finance and Administration (Voting position)
  • Vice-President Football Operations (Voting position)
  • Director of Tackle Football Programming (Voting position)
  • Director of Flag Football Programming (Voting position)
  • Director of Finance (Voting position)
  • Director of Administration (Voting position)
  • Director of Marketing (Voting position)
  • Director of Equipment and Owned Assets (Voting position)

Should there arise a need for a vote within the CAMFA Board of Directors – Executive Committee, the committee will carry out the voting structure outlined below.

  • President (Voting position)
  • Vice-President Finance and Administration (Voting position)
  • Vice-President Football Operations (Voting position)
  • Director of Administration (Non-voting position)
